Clear terms. No legal gymnastics.

We've written these terms to be read and understood — not to obscure obligations behind walls of jargon. If you have a question, email us directly.

01 — Acceptance

Acceptance of Terms

By accessing or using the GeneWorks platform ("the Service") operated by GeneWorks ("we", "us", "the Company"), you ("the Customer", "you") agree to be bound by these Terms of Service. If you are using GeneWorks on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

If you do not agree to these terms, you may not use the Service. Continued use of the platform after any revision to these terms constitutes acceptance of the updated terms.

02 — The Platform

Description of the Platform

GeneWorks is an AI-powered platform that enables users to automate ServiceNow platform development and administration tasks. The platform orchestrates a network of specialist AI agents to design, build, test, and package ServiceNow artifacts on behalf of the customer, using credentials provided by the customer to access their ServiceNow instance.

GeneWorks is provided as a software service. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

03 — Access & Accounts

Access & Account Responsibilities

Access to GeneWorks may require registration and agreement to a commercial plan. You are responsible for maintaining the confidentiality of any access credentials associated with your GeneWorks workspace, and for all activity that occurs under your account.

You agree to notify us immediately if you become aware of any unauthorised use of your workspace or credentials. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.

You may not share account access with individuals outside your organisation without prior written consent from GeneWorks.

04 — Acceptable Use

Acceptable Use Policy

You agree to use GeneWorks only for lawful purposes and in a manner consistent with applicable laws and regulations. You must not:

  • Attempt to circumvent governance controls, impact analysis gates, or Human-in-the-Loop review mechanisms built into the platform
  • Use GeneWorks to deploy malicious code, unauthorised system modifications, or configurations intended to harm or compromise your ServiceNow instance or any connected system
  • Reverse-engineer, decompile, or extract proprietary elements of the GeneWorks platform, agent logic, or prompt architecture
  • Resell or sublicense access to GeneWorks to third parties without a written reseller agreement
  • Submit false, misleading, or deceptive requirements to agents in order to generate outputs that would otherwise be blocked by governance controls
  • Use the platform in production environments without first testing artifacts in a non-production instance and obtaining the necessary internal change approvals

GeneWorks agents execute actions directly on your ServiceNow instance. You are responsible for reviewing all generated artifacts before committing them to production. We strongly recommend maintaining a change management process independent of GeneWorks for all production deployments.

05 — Instance Access

ServiceNow Instance Access

By providing your ServiceNow instance credentials to GeneWorks, you:

  • Authorise GeneWorks agents to read, create, and modify ServiceNow records and configurations as required to complete the tasks you submit
  • Represent that you have the authority to grant this access on behalf of your organisation and the instance owner
  • Accept full responsibility for any changes made to your ServiceNow instance as a result of tasks executed by GeneWorks agents on your instruction
  • Acknowledge that GeneWorks operates as an agent acting under your direction, and that the customer bears responsibility for the outcomes of platform changes made via the Service

We recommend configuring a dedicated service account for GeneWorks with the minimum permissions required for your intended use case. GeneWorks is not responsible for unintended platform changes resulting from overly permissive service accounts.

06 — Intellectual Property

Intellectual Property Rights

GeneWorks IP: The GeneWorks platform, including its agent architecture, prompt engineering, user interface, and underlying algorithms, is the intellectual property of GeneWorks. Nothing in these terms grants you any ownership rights in or to the platform.

Customer Data & Outputs: The artifacts generated by GeneWorks agents on your behalf — including business rules, client scripts, flow designer components, Update Sets, and documentation — are owned by you. GeneWorks makes no claim to outputs generated at your instruction on your ServiceNow instance.

Feedback: If you provide feedback or suggestions about GeneWorks, you grant us a non-exclusive, royalty-free licence to use that feedback for platform improvement purposes without any obligation to you.

07 — AI-Generated Outputs

AI-Generated Outputs & Customer Responsibility

GeneWorks generates platform artifacts using AI models. All generated code, configurations, and documents should be reviewed by a qualified ServiceNow professional before deployment to a production environment.

While GeneWorks includes ATF validation and impact analysis governance, AI-generated outputs may contain errors, inaccuracies, or configurations that are suboptimal for your specific environment. You acknowledge that:

  • AI outputs require human review and validation before production deployment
  • GeneWorks does not guarantee that generated artifacts are free from bugs or configuration errors
  • The customer is responsible for testing all outputs in a non-production environment before committing changes
  • GeneWorks's ATF coverage is limited to the test cases generated based on the requirements submitted — it cannot test scenarios not described in the input
08 — Limitation of Liability

Limitation of Liability

To the maximum extent permitted by applicable law, GeneWorks and the GeneWorks platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

  • Loss of data, business, revenue, or profit
  • Platform downtime or service interruptions
  • Changes made to your ServiceNow instance by GeneWorks agents on your instruction that result in unintended consequences
  • Third-party claims arising from the use of GeneWorks-generated artifacts on your ServiceNow instance

Our total aggregate liability to you for any claim arising under or in connection with these terms shall not exceed the amounts paid by you to GeneWorks in the 12 months preceding the event giving rise to the claim.

09 — Warranties

Warranties & Disclaimers

The GeneWorks platform is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that any specific outcome will result from use of the platform, including that a particular ServiceNow configuration will function as described or intended.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.

10 — Termination

Termination

Either party may terminate the commercial relationship with 30 days' written notice. We reserve the right to suspend or terminate access to GeneWorks immediately and without notice if we determine, in our reasonable judgment, that you are in material breach of these terms or are using the platform in a manner that poses a risk to other customers, third parties, or our infrastructure.

Upon termination, your right to access the platform ceases immediately. Any artifacts already deployed to your ServiceNow instance remain in place and under your ownership. GeneWorks has no mechanism to reverse changes made to your instance upon termination.

11 — Changes to Terms

Changes to These Terms

We reserve the right to update these Terms of Service at any time. For material changes, we will provide at least 14 days' notice via email (to the address associated with your account) or via a prominent notice on the GeneWorks website. Continued use of the platform after the effective date of any change constitutes your acceptance of the updated terms.
