By accessing or using the GeneWorks platform ("the Service") operated by GeneWorks ("we", "us", "the Company"), you ("the Customer", "you") agree to be bound by these Terms of Service. If you are using GeneWorks on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
If you do not agree to these terms, you may not use the Service. Continued use of the platform after any revision to these terms constitutes acceptance of the updated terms.
GeneWorks is an AI-powered platform that enables users to automate ServiceNow platform development and administration tasks. The platform orchestrates a network of specialist AI agents to design, build, test, and package ServiceNow artifacts on behalf of the customer, using credentials provided by the customer to access their ServiceNow instance.
GeneWorks is provided as a software service. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
Access to GeneWorks may require registration and agreement to a commercial plan. You are responsible for maintaining the confidentiality of any access credentials associated with your GeneWorks workspace, and for all activity that occurs under your account.
You agree to notify us immediately if you become aware of any unauthorised use of your workspace or credentials. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.
You may not share account access with individuals outside your organisation without prior written consent from GeneWorks.
You agree to use GeneWorks only for lawful purposes and in a manner consistent with applicable laws and regulations. You must not:
GeneWorks agents execute actions directly on your ServiceNow instance. You are responsible for reviewing all generated artifacts before committing them to production. We strongly recommend maintaining a change management process independent of GeneWorks for all production deployments.
By providing your ServiceNow instance credentials to GeneWorks, you:
We recommend configuring a dedicated service account for GeneWorks with the minimum permissions required for your intended use case. GeneWorks is not responsible for unintended platform changes resulting from overly permissive service accounts.
GeneWorks IP: The GeneWorks platform, including its agent architecture, prompt engineering, user interface, and underlying algorithms, is the intellectual property of GeneWorks. Nothing in these terms grants you any ownership rights in or to the platform.
Customer Data & Outputs: The artifacts generated by GeneWorks agents on your behalf — including business rules, client scripts, flow designer components, Update Sets, and documentation — are owned by you. GeneWorks makes no claim to outputs generated at your instruction on your ServiceNow instance.
Feedback: If you provide feedback or suggestions about GeneWorks, you grant us a non-exclusive, royalty-free licence to use that feedback for platform improvement purposes without any obligation to you.
GeneWorks generates platform artifacts using AI models. All generated code, configurations, and documents should be reviewed by a qualified ServiceNow professional before deployment to a production environment.
While GeneWorks includes ATF validation and impact analysis governance, AI-generated outputs may contain errors, inaccuracies, or configurations that are suboptimal for your specific environment. You acknowledge that:
To the maximum extent permitted by applicable law, GeneWorks and the GeneWorks platform shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:
Our total aggregate liability to you for any claim arising under or in connection with these terms shall not exceed the amounts paid by you to GeneWorks in the 12 months preceding the event giving rise to the claim.
The GeneWorks platform is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that any specific outcome will result from use of the platform, including that a particular ServiceNow configuration will function as described or intended.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.
Either party may terminate the commercial relationship with 30 days' written notice. We reserve the right to suspend or terminate access to GeneWorks immediately and without notice if we determine, in our reasonable judgment, that you are in material breach of these terms or are using the platform in a manner that poses a risk to other customers, third parties, or our infrastructure.
Upon termination, your right to access the platform ceases immediately. Any artifacts already deployed to your ServiceNow instance remain in place and under your ownership. GeneWorks has no mechanism to reverse changes made to your instance upon termination.
We reserve the right to update these Terms of Service at any time. For material changes, we will provide at least 14 days' notice via email (to the address associated with your account) or via a prominent notice on the GeneWorks website. Continued use of the platform after the effective date of any change constitutes your acceptance of the updated terms.

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
