01 — Acceptance

Acceptance of Terms

By accessing or using the GeneWorks platform ("the Service") operated by GeneWorks ("we", "us", "the Company"), you ("the Customer", "you") agree to be bound by these Terms of Service. If you are using GeneWorks on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

If you do not agree to these terms, you may not use the Service. Continued use of the platform after any revision constitutes acceptance of the updated terms.

Plain-English summary (not a substitute for the terms below). You use GeneWorks against your own non-production ServiceNow instance, with your own credentials. It scans read-only and only changes your instance when you approve it. You own the outputs; we own the platform. You review before promoting to production. Liability is capped at 12 months' fees.
02 — The Platform

Description of the Platform

GeneWorks is an AI delivery platform for ServiceNow. It orchestrates a workforce of specialist AI agents that scan, assess, build, test, document, and remediate ServiceNow configuration on the Customer's behalf, using credentials the Customer provides to access their own ServiceNow instance.

The Service comprises a suite of applications that share a common model — they scan the instance read-only, surface findings, and apply changes only when the Customer explicitly approves them:

Command CenterMaps the whole instance; surfaces collisions and dead weight.
Application ExplorerX-rays any application's composition and customizations.
CMDB Assessment / Catalog Center / Normalization / UpgradeAssistScore and remediate specific areas of the platform.
Document BuilderGenerates delivery documentation from the live instance.
The Delivery LoopTurns a requirement into a tested, deployed change through six stages and two human gates.

GeneWorks is provided as a software service and may be offered directly or through authorised resellers and delivery partners. We reserve the right to modify, suspend, or discontinue any feature at any time, with reasonable notice where practicable.

03 — Access & Accounts

Access & Account Responsibilities

Access requires registration and agreement to a commercial plan, licensed on a per-seat basis. Where GeneWorks is used to deliver ServiceNow work for the Customer's own end clients, each connected client environment is licensed separately.

You are responsible for maintaining the confidentiality of your workspace credentials and for all activity under your account. Notify us immediately of any unauthorised use. You may not share account access with individuals outside your organisation without prior written consent.

04 — Acceptable Use

Acceptable Use Policy

You agree to use GeneWorks only for lawful purposes and consistent with applicable laws. You must not:

  • Attempt to circumvent governance controls, read-only scanning boundaries, or the human sign-off gates built into the platform.
  • Use GeneWorks to deploy malicious code or configurations intended to harm or compromise your ServiceNow instance or any connected system.
  • Reverse-engineer, decompile, or extract proprietary elements of the platform, agent logic, prompt architecture, or the Normalization reference database.
  • Resell or sublicense access without a written reseller or partner agreement.
  • Submit false or deceptive requirements to generate outputs that would otherwise be blocked by governance controls.
  • Connect a production instance, or promote a GeneWorks-generated change to production, without first testing in a non-production instance and obtaining the necessary internal change approvals.

GeneWorks scans read-only and applies changes only on your instruction. You are responsible for reviewing all generated artifacts before committing them to production, and for maintaining a change-management process independent of GeneWorks for all production deployments.

05 — Instance Access

ServiceNow Instance Access

By providing your ServiceNow instance credentials to GeneWorks, you:

  • Authorise GeneWorks agents to read your instance, and — only upon your explicit approval — to create and modify records and configuration in non-production environments to complete the tasks you submit;
  • Represent that you have the authority to grant this access on behalf of your organisation and, where applicable, the end client whose environment is connected;
  • Accept full responsibility for any changes made to your instance as a result of tasks you approve;
  • Acknowledge that GeneWorks operates as an agent acting under your direction, and that the Customer bears responsibility for the outcomes of platform changes made via the Service.
Least privilege. Configure a dedicated service account with the minimum permissions your use case requires. GeneWorks is not responsible for unintended changes resulting from overly permissive service accounts.
06 — Intellectual Property

Intellectual Property Rights

GeneWorks IP: The platform — its agent architecture, prompt engineering, the Normalization reference database, user interface, and underlying algorithms — is the intellectual property of GeneWorks. Nothing in these terms grants you ownership rights in the platform.

Customer data & outputs: The artifacts generated by GeneWorks agents on your behalf — business rules, client scripts, flows, catalog items, changes, and documentation deployed to your ServiceNow instance — are owned by you. GeneWorks makes no claim to outputs generated at your instruction on your instance.

Feedback: If you provide feedback or suggestions, you grant us a non-exclusive, royalty-free licence to use it for platform improvement, without any obligation to you.

07 — AI-Generated Outputs

AI-Generated Outputs & Customer Responsibility

GeneWorks generates platform artifacts, assessments, and documents using AI models. All generated code, configurations, findings, and documents should be reviewed by a qualified ServiceNow professional before deployment to a production environment.

While GeneWorks includes read-only assessment, ATF and functional validation, and human sign-off gates, AI-generated outputs may contain errors or configurations suboptimal for your specific environment. You acknowledge that:

  • AI outputs require human review and validation before production deployment;
  • GeneWorks does not warrant that generated artifacts or assessment findings are free from error;
  • The Customer is responsible for testing all outputs in a non-production environment before committing changes;
  • GeneWorks's test coverage is limited to the cases generated from the requirements submitted — it cannot test scenarios not described in the input.
08 — Limitation of Liability

Limitation of Liability

To the maximum extent permitted by applicable law, GeneWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, business, revenue, or profit; platform downtime; changes you approved that result in unintended consequences; or third-party claims arising from the use of GeneWorks-generated artifacts on your instance.

09 — Warranties

Warranties & Disclaimers

The GeneWorks platform is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any specific outcome will result from use of the platform. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full.

10 — Termination

Termination

Either party may terminate the commercial relationship with 30 days' written notice. We reserve the right to suspend or terminate access immediately and without notice if we determine, in our reasonable judgment, that you are in material breach of these terms or are using the platform in a manner that poses a risk to other customers, third parties, or our infrastructure.

Upon termination, your right to access the platform ceases immediately. Any artifacts already deployed to your ServiceNow instance remain in place and under your ownership. GeneWorks has no mechanism to reverse changes already committed to your instance upon termination.

11 — Changes to Terms

Changes to These Terms

We reserve the right to update these Terms of Service at any time. For material changes, we will provide at least 14 days' notice via email (to the address associated with your account) or via a prominent notice on the GeneWorks website. Continued use of the platform after the effective date of any change constitutes your acceptance of the updated terms.

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
